General Terms and Conditions
1. Scope
The following General Terms and Conditions (hereinafter “GTC”) regulate current and future business and contractual relationships between GxPedia GmbH (hereinafter “GxPedia”) and the participant in GxPedia training offerings (hereinafter “Customer”).
The GTC apply in the version valid at the time of the order. Deviating or supplementary terms and conditions of the Customer do not form part of the contract unless GxPedia expressly agrees to their applicability. Side agreements, changes, or additions require written form to be effective.
Entrepreneur means a natural or legal person or a legally competent partnership who, when concluding a legal transaction, acts in the exercise of their commercial or self-employed professional activity (Section 14 BGB).
Consumer within the meaning of these GTC is any natural person who enters into a legal transaction for purposes that can predominantly be attributed neither to their commercial nor self-employed professional activity (Section 13 BGB). Customers who participate in GxPedia offers via their employer are not consumers in this sense, because they themselves are not the contracting party of the organizer; their employer is (e.g., if a booking is made via the employer).
2. Services
GxPedia provides the services in accordance with the type and scope of the general service descriptions. The organizer offers on-site and online trainings, which are delivered in various formats (see definitions in Section 2.1). Prices, details, and conditions are listed in the respective offer.
2.1. 2.1. Definitions
In-house offers: training events organized in agreement with the Customer. The scope of services, type and location of execution, and other aspects are defined by the Customer. These can be conducted in the following forms:
On-site seminar: Held at a pre-agreed time at an appropriate venue and also offers the option of remote participation.
Webinar: Held at a pre-agreed time exclusively online with no on-site participation.
2.2. 2.2. Registrations
Registrations for all GxPedia offerings must be made in text form via email. Personal data and other order details must be provided completely and truthfully. Further details on data processing are in the GxPedia Privacy Policy. GxPedia confirms the registration in text form by email. The order becomes binding with the confirmation. Invoicing is done in electronic text form (PDF) after the event. For this, the Customer must provide an invoicing address and an email address for invoicing.
3. Training Fees and Payment Terms
Training fees are as per the respective offer and exclusive of the applicable VAT. The fee is due within 7 days after receipt of the invoice and must be paid by bank transfer. GxPedia does not offer other payment methods.
4. Cancellation, Fees and Termination
Cancellation of the booking is possible free of charge up to 51 days before the start of the seminar or event without giving reasons. The cancellation must be communicated to GxPedia in text form via email. The date of receipt of the cancellation notice at GxPedia is decisive.
If registration is canceled between day 50 and day 15 before the event, a processing fee of 10% of the costs is due. If the participant cancels less than 14 days before the event, 50% of the training fee is charged; if cancellation occurs less than 3 days before the event, 100% of the training fee is charged.

4.1. 4.1. Cancellation Policy
The GxPedia offering is directed at entrepreneurs, i.e., natural or legal persons or legally dependent partnerships acting in the course of their commercial or self-employed professional activity when concluding the legal transaction. The following provisions do not apply to entrepreneurs.
4.2 Right of Withdrawal
If a Customer is a consumer within § 13 BGB, they may withdraw their registration within 14 days without giving any reason. The withdrawal may be declared by email.

To meet the withdrawal deadline, it suffices that the notice of exercise of the withdrawal right is sent before expiry of the withdrawal period.
4.3 Consequences of Withdrawal
If the contract is validly withdrawn, all payments received by GxPedia under the respective canceled booking will be refunded without delay and at the latest within fourteen days from the day on which the withdrawal notice was received by GxPedia. For this refund, we will use the same payment method used for the original transaction, unless explicitly agreed otherwise; in no event will you be charged fees for this refund. If the service has already begun at the Customer’s request during the withdrawal period, the Customer is obliged to pay a reasonable amount. This corresponds to the portion of services already provided up to the time of withdrawal in relation to the total scope of the contract.
4.4 Sample Withdrawal Form
If you wish to withdraw the contract, you may submit your withdrawal statement to us. No signature is required if you use the electronic withdrawal function.

Note: The statutory withdrawal right applies to consumers. For bookings by companies, business customers or other commercial customers, there is generally no statutory withdrawal right.

5. Changes, Alternative Dates and Cancellations
GxPedia is entitled to provide the service by alternative learning formats if, for reasons beyond its control (e.g., prohibition of on-site events by federal or state regulations), it cannot provide the service as an on-site seminar. The customer may not withdraw from the contract in this case. As an alternative to digital participation, the customer will be offered a rescheduled date. GxPedia cannot be obliged to reimburse travel or hotel costs or other consequential damages. If a speaker is unable to attend, GxPedia reserves the right to find a suitable substitute. In this case, there is no entitlement to a refund of participation fees.
6. 6. Liability
GxPedia as organizer is not liable for personal or property damage arising before, during or after the events, unless such damage is based on intentional or grossly negligent behavior by GxPedia or its vicarious agents.
7. 7. Technical Requirements for Online Events
For online events or where customers have chosen online participation, the following minimum requirements apply: computer with internet connection, current browser, access to the digital training environment via browser link, speakers and/or headset. Also recommended but not mandatory: a camera, a microphone, access to other interaction platforms (e.g., Mentimeter, Miro) via a browser link.
8. 8. Copyright
The contents of all GxPedia events and all materials provided to customers during the event (printed documentation, online materials as digital documentation, recordings, etc.) are the intellectual property of GxPedia or the respective speakers and their companies and are protected by copyright. They may be used by the customer only as provided to them. In particular, partial copying, publication, disclosure, editing, or recording of a session by audio, video or screenshots is not allowed. Any misuse may be prosecuted. Customers agree to protect the copyright and to use the digital live events, e-learning modules, video trainings, etc. only for their own use within the contractual agreement.
9. 9. Data Protection
Customer data are processed electronically for internal purposes. The data provided at registration is stored in accordance with data protection regulations. Further details on data processing are found in the GxPedia privacy policy.
In hybrid seminars, live transmission to digitally connected participants occurs. Participants must inform GxPedia if they do not consent to the transmission of their image or voice. There is no recording of hybrid events and access to the live transmission is not public.
10. Final Provisions
The contract remains binding in its remaining parts even if individual points are legally ineffective. In place of ineffective points, the statutory provisions shall apply, if available. If applying would cause an unreasonable hardship to a party, the contract becomes wholly ineffective.
The legal relationship of the contracting parties (GxPedia – Customers) arising from or in connection with the contract is subject exclusively to the law of the Federal Republic of Germany, excluding the UN Sales Convention.
If the customer is a merchant, public-law entity, or a special fund, the place of jurisdiction for all disputes arising from contractual relationships between the customer and the provider is the provider’s registered office in Wiesbaden. If the customer is a consumer and does not have a general place of jurisdiction in the Federal Republic of Germany, Wiesbaden is the non-exclusive place of jurisdiction. If the customer moves their residence or habitual residence after conclusion of the contract to a country outside Germany or if their residence or habitual residence is unknown at the time of the lawsuit, then Wiesbaden is the place of jurisdiction for claims against the customer. Exclusive jurisdictions, e.g., for court procedures, remain unaffected.
